ALTEO’s corporate governance framework

Embedding sustainability principles into corporate-governance practice is a top priority for the ALTEO Group. Shaping leadership mindset and embedding sustainability targets into executive incentive systems represents a significant governance consideration. The company emphasises customer focus, service quality and workplace safety.

In 2023 ALTEO received the EcoVadis Silver rating, placing us in the global top 15% of companies assessed — our environmental performance scored **80/100**. The assessment covers environmental performance, ethics, labour and human rights, and sustainable procurement practices.

The practical framework of the governance pillar is provided by two mutually reinforcing systems: the **integrated management system** (IMS) — which regulates our quality, environmental, occupational-safety and energy-management processes along four international ISO standards — and the **Ethics, Compliance and Control** (ECK) framework, which provides the regulatory conditions for exchange-grade compliance, transparency and misconduct prevention.

Compliance framework

Four pillars of exchange-grade operation

ALTEO’s compliance system rests on four mutually reinforcing pillars: stock-exchange compliance, risk management, internal control and independent audit. Together they ensure transparent operation and prevent misconduct.

Exchange-grade compliance
ALTEO Plc.’s Budapest listing creates ongoing disclosure and internal-control expectations. The compliance department reviews every business decision against applicable law and internal policy.
Annual risk assessment
Organisational leaders evaluate procurement, accounting and HR risks annually. Based on the results we define and document corrective actions.
Continuous monitoring
The internal control system handles information and cyber security, GDPR compliance and physical security in a unified framework. An annual certificate attests to the integrity of our accounting system.
Independent auditor
Independent auditor appointment is mandatory by law. The auditor examines the financial statements prepared under the Accounting Act and confirms that they give a reliable and true picture of the Company’s position.

Corporate-governance bodies and documents

The institutional framework of the governance pillar — the composition, rules of procedure and operating rules of the Board of Directors, Supervisory Board, Audit Committee, Green Committee and Executive Board — and the related main documents (Articles of Association, rules of procedure, Responsible Corporate Governance Report) are presented in detail on ALTEO Plc.’s corporate-governance page.
